In these Terms, “CifraCove,” “we,” “us,” and “our” refer to the business operating the CifraCove brand, website, and bookkeeping services.
If a proposal, engagement agreement, statement of work, authorization, order form, or other client-specific written agreement conflicts with these general website Terms concerning the services governed by that agreement, the more specific agreement controls to the extent of the conflict.
Acceptance of these Terms
By accessing or using this website, submitting information through a website form, using an online pricing or scheduling feature, or otherwise interacting with website functionality that references these Terms, you agree to these Terms to the extent applicable to that interaction.
If you do not agree with these Terms, do not use website functions that require acceptance of them.
If you use the website on behalf of a company, organization, or other entity, you represent that you have authority to initiate the applicable website interaction on its behalf.
When you choose to communicate or transact electronically, applicable acknowledgments, confirmations, notices, records, agreements, and signatures may be provided or maintained electronically where permitted and appropriate.
Website use
The CifraCove website provides information about bookkeeping services, pricing starting points, operating processes, educational resources, free tools, and methods for contacting CifraCove.
Website content is intended for general informational and business-development purposes. It is not individualized accounting, tax, legal, investment, employment, regulatory, or other licensed professional advice.
We may modify, suspend, replace, add, or remove website content and features at any time. We do not guarantee that every website feature will always be available, uninterrupted, error-free, compatible with every device, or suitable for every purpose.
Information you provide
When you provide information to CifraCove, you agree to provide information that is reasonably accurate and not knowingly misleading. You are responsible for obtaining any authority or permission necessary to provide information concerning another person, business, employee, customer, vendor, or other third party.
Do not submit passwords, bank-login credentials, payment-card numbers, Social Security numbers, full taxpayer identification numbers, government ID images, authentication codes, or similarly sensitive information through public contact or pricing forms.
If sensitive information or system access later becomes necessary for an actual bookkeeping engagement, CifraCove may establish a more appropriate access or information-exchange process.
Additional information about how website information may be handled is available in the Privacy Policy.
Client engagements require separate agreement
An inquiry, estimate, pricing result, discussion, website interaction, or exchange of preliminary information does not by itself create a client relationship or require either party to proceed.
Before recurring or project-based bookkeeping services begin, the parties may enter into an applicable proposal, engagement agreement, statement of work, authorization, or other written agreement identifying matters such as:
- Services to be performed and services excluded from scope.
- Client and CifraCove responsibilities.
- Fees, billing arrangements, and payment timing.
- Term and termination provisions.
- Systems, records, and access requirements.
- Information-security or access procedures.
- Other service-specific terms.
Once a bookkeeping engagement is established, the applicable accepted engagement documentation governs the specific services, responsibilities, pricing, term, and other engagement conditions.
Bookkeeping service boundaries
CifraCove's standard service model is intentionally focused on bookkeeping. The three principal service paths are:
Recurring organization, categorization, reconciliation, bookkeeping-question follow-up, and monthly bookkeeping reporting according to the agreed scope.
A separate historical project for books that are behind, unreconciled, inconsistent, or otherwise require work before ordinary recurring bookkeeping can continue.
A one-time bookkeeping setup or restructuring project for businesses that need a cleaner QuickBooks Online starting structure.
Bookkeeping complexity does not create a separate service automatically
Payroll reports, payment processors, loans, ecommerce platforms, owner transactions, multiple financial accounts, and similar systems or activity may affect bookkeeping complexity when they interact with the books. Their presence does not by itself mean CifraCove is providing payroll processing, lending, payment-processing, tax, legal, or other separate services.
Client responsibilities and management authority
The client remains responsible for management decisions, business approvals, representations about the business, the accuracy and completeness of information supplied, and maintaining appropriate control of its financial accounts and accounting-system ownership.
AI-assisted workflow and human review
Technology or automation may assist with organization, matching, pattern recognition, workflow, or exception identification. Automation is not a substitute for client context or appropriate human review, and CifraCove does not represent that automated tools are error-free.
Services outside the standard bookkeeping scope
Unless separately provided under an appropriate independent professional arrangement, CifraCove's standard bookkeeping engagement does not include tax preparation or representation, audit, review, compilation, assurance, legal advice, investment advice, or other work requiring a separate license, credential, independence standard, or professional engagement.
Pricing, proposals, and payment
Prices displayed on the website may be starting prices, examples, plan prices, project categories, or preliminary estimates. They do not necessarily represent the final price for every client or engagement.
Final pricing may depend on factors such as transaction activity, number of financial accounts, number of entities, accounting-system condition, historical backlog, reconciliation status, payment processors, payroll-related bookkeeping complexity, loans, ecommerce activity, records available, requested frequency, and the responsibilities included in scope.
The applicable engagement documentation identifies the fees, billing schedule, payment terms, and any recurring-service arrangements that apply to a client.
Merely visiting the website, using Check My Price, or submitting an inquiry does not enroll you in a recurring paid bookkeeping engagement.
Electronic payments
If electronic payment options are offered, payment processing may be provided by a third-party payment processor. The processor's terms and privacy practices may apply to the payment transaction.
Third-party products and services
CifraCove may use, link to, integrate with, or receive information from third-party technologies and service providers that support the website or bookkeeping workflow.
Examples may include:
- QuickBooks Online and other accounting technology.
- Banks and financial institutions.
- Payroll providers when their reports affect bookkeeping.
- Payment processors and commerce platforms.
- Email, communication, document, and cloud-storage providers.
- Website hosting, security, analytics, or scheduling technology.
Unless expressly stated otherwise, third-party companies are independent from CifraCove. Their products and services are governed by their own contracts, terms, privacy policies, security practices, pricing, availability, and support obligations.
References to QuickBooks, QuickBooks Online, Intuit, or other third-party products or companies do not imply ownership, sponsorship, certification, partnership, or endorsement unless expressly stated.
Intellectual property and website content
Unless otherwise indicated, the CifraCove website design, original written content, graphics, branding, organization, and other proprietary website materials are owned by or licensed to the business operating CifraCove.
You may access and use the website for ordinary personal or business informational purposes. Without permission, you may not:
- Republish substantial portions of proprietary website content as your own.
- Use CifraCove branding in a way that falsely suggests affiliation or endorsement.
- Copy, scrape, reproduce, sell, or exploit website materials in a manner that infringes applicable rights.
- Remove proprietary notices from materials supplied by CifraCove.
Third-party trademarks and product names remain the property of their respective owners.

Website and informational disclaimers
Website information is provided for general informational purposes and may not reflect the specific facts of your business or situation.
CifraCove does not warrant that general website information is complete, current, error-free, or appropriate for every business, transaction, jurisdiction, or circumstance.
Website examples, sample workflows, illustrations, educational content, dashboards, pricing examples, or service descriptions are not promises of a particular bookkeeping, business, financial, tax, legal, or other result.
Tax, legal, employment, regulatory, investment, and other professional questions can depend on facts not available through a general website or standard bookkeeping engagement.
Additional disclosures are available in our Disclaimer.
Limitation of liability
To the maximum extent permitted by applicable law, CifraCove and its owners, personnel, contractors, and service providers will not be responsible for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from use of or inability to use the public website.
This may include, where permitted by law, losses resulting from website interruptions, third-party services, unauthorized third-party activity, technical failures, or reliance on general website information instead of an applicable client engagement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Limitations of liability, remedies, responsibilities, warranties, indemnities, and risk allocations applicable to an actual bookkeeping engagement should be addressed in the applicable engagement agreement rather than assumed from these general website Terms.
Responsibility for misuse
To the extent permitted by applicable law, you are responsible for losses or claims arising from your unlawful misuse of the website, fraudulent submissions, unauthorized use of another person's information, infringement of another person's rights, malicious interference with CifraCove systems, or material violation of these Terms.
This section is not intended to shift responsibility to you for losses caused by CifraCove's own conduct where such responsibility cannot lawfully be shifted.
Suspension or termination of access
CifraCove may restrict or suspend access to website functionality when reasonably necessary to address security concerns, suspected misuse, fraud, unlawful activity, technical problems, abuse, or material violation of these Terms.
Termination of an actual client engagement is governed by the applicable engagement agreement and any obligations that continue after termination.
Governing law and disputes
Unless a separate agreement provides otherwise, these website Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent another law must apply.
Subject to applicable law and any different written agreement between the parties, disputes concerning these website Terms may be brought in an appropriate state or federal court having jurisdiction in or serving Orange County, California.
These website Terms do not contain a mandatory arbitration provision. A separate client engagement agreement may address dispute procedures appropriate to that engagement.
Changes to these Terms
CifraCove may update these Terms as the website, services, technologies, business practices, or legal requirements change.
When these Terms are updated, the “Last Updated” date may be revised. Updated website Terms apply prospectively to website use after they become effective, subject to applicable law.
Changes to an existing client engagement are governed by the applicable engagement documentation and are not automatically created by changing these website Terms.
General provisions
Entire website agreement
These Terms, together with the Privacy Policy, Cookie Policy, Disclaimer, and any additional terms presented for a particular website feature, constitute the general terms applicable to use of this website.
No waiver
Failure to enforce a provision of these Terms on one occasion does not necessarily waive the right to enforce it later.
Severability
If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions are intended to remain effective to the extent permitted by law.
Assignment
You may not assign rights arising solely under these website Terms in a manner that materially affects CifraCove without appropriate consent. CifraCove may transfer these Terms in connection with a legitimate business restructuring, merger, acquisition, sale, or similar transaction, subject to applicable law.
Headings
Section headings are included for convenience and do not independently alter the meaning of the provisions.
